1. Agreement to Terms

By accessing or using the services provided by Seravo Labs, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Description of Services

Seravo Labs provides B2B software development services, specializing in custom internal tools and applications. Our services include but are not limited to:

  • Custom software development
  • Internal tool creation and integration
  • Consulting and technical advisory services
  • Software maintenance and support

3. Service Agreements

Specific terms for software development projects will be outlined in separate service agreements or statements of work. These agreements will detail:

  • Project scope and deliverables
  • Timeline and milestones
  • Pricing and payment terms
  • Intellectual property rights
  • Support and maintenance provisions

4. Payment Terms

Payment terms will be specified in individual service agreements. Generally:

  • Invoices are payable within 30 days of receipt unless otherwise agreed
  • Late payments may incur interest charges
  • We reserve the right to suspend services for non-payment

5. Intellectual Property

Unless otherwise specified in a service agreement:

  • Upon full payment, custom-developed code becomes your property
  • We retain rights to reusable components, frameworks, and general methodologies
  • Third-party software and tools remain subject to their respective licenses
  • You grant us permission to use your project as a portfolio reference unless confidentiality is specified

6. Confidentiality

Both parties agree to maintain confidentiality of proprietary information shared during the course of our engagement. This includes:

  • Business strategies and plans
  • Technical specifications and source code
  • Financial information
  • Customer data and user information

7. Warranties and Disclaimers

We warrant that services will be performed in a professional and workmanlike manner. However:

  • Software is provided "as is" unless otherwise specified in service agreements
  • We do not guarantee that software will be error-free or uninterrupted
  • We are not liable for issues arising from third-party integrations or services
  • Client is responsible for testing and validating deliverables before production deployment

8. Limitation of Liability

To the maximum extent permitted by law:

  • Our liability is limited to the amount paid for the specific service in question
  • We are not liable for indirect, incidental, or consequential damages
  • This includes but is not limited to lost profits, data loss, or business interruption

9. Termination

Either party may terminate a service agreement:

  • For convenience with 30 days written notice
  • Immediately for material breach by the other party
  • Upon completion of project deliverables and final payment

Upon termination, client is responsible for payment of all work completed to date.

10. Client Responsibilities

Client agrees to:

  • Provide timely access to necessary systems, data, and personnel
  • Respond to requests for information and feedback in a timely manner
  • Ensure that provided content and data does not violate any laws or third-party rights
  • Maintain appropriate backups of data and systems

11. Indemnification

Client agrees to indemnify and hold Seravo Labs harmless from claims arising from:

  • Client's use of the delivered software
  • Client-provided content, data, or specifications
  • Violation of third-party rights or applicable laws

12. Governing Law

These terms are governed by the laws of the State of Wyoming, United States. Any disputes will be resolved in the courts of Sheridan County, Wyoming.

13. Changes to Terms

We reserve the right to modify these terms at any time. Changes will be effective upon posting to our website. Continued use of our services constitutes acceptance of modified terms.

14. Entire Agreement

These terms, together with any service agreements, constitute the entire agreement between you and Seravo Labs regarding our services.
